This role is responsible for providing legal, company secretarial, and tax-related support to all business units within the division. The Legal Officer will review, draft, and negotiate contracts, ensure compliance with statutory requirements, assist with dispute management, and support corporate governance activities.
The position is ideal for a commercially minded legal professional with strong experience in construction and engineering contracts, corporate law, and contract management within a corporate environment.
Key Responsibilities
Corporate and Commercial Legal Support
- Review and prepare documentation across general corporate and commercial law.
- Process and resolve queries related to contract, corporate, statutory, and commercial law.
- Ensure compliance with relevant laws, regulations, and corporate governance standards.
- Review, draft, and negotiate engineering and construction-related contracts including NEC, FIDIC, GCC, JBCC, and bespoke EPC/EPCM agreements.
- Conduct pre-contract reviews and qualify tender terms and conditions.
- Manage post-contract claims and disputes, including time extensions, Force Majeure, and scope variations.
- Assist with company secretarial functions as required by the Group Legal & Company Secretary.
- Maintain up-to-date company documentation for tender submissions, including statutory certificates and CIPC records.
- Provide guidance on tax implications of operations in Africa and other foreign jurisdictions.
Experience
- Minimum of 5 years’ post-articles experience, or 5 years in a corporate commercial legal role.
- Strong working knowledge of NEC, FIDIC, GCC, EPC, and EPCM contracts (essential).
- Knowledge of South African tax legislation (advantageous).
- Excellent written and verbal communication skills.
- Strong personal integrity, self-discipline, and a positive, professional attitude.
- Ability to collaborate across multi-functional teams and locations.
- Detail-oriented, deadline-driven, and able to perform under pressure.
- Proficient in MS Office 365.
- Commercial Law Degree (LLB) required.
- Admitted attorney preferred.
