Job SummaryCompany Secretarial and Administration Officer – Cape Town, South AfricaOur Law firm client is looking for a Company Secretarial and Administration / Company Secretarial and Administration Officer with 5+ years of experience working for a Law firm. The Company Secretary will assist the organisation's clients to comply with statutory obligations and maintain high standards of corporate governance. They will provide guidance to boards of directors about their duties, responsibilities, and powers, and ensure the company adheres to the Companies Act, 71 of 2008 (“the Companies Act”).Salary Range: depending on experience and qualifications.Minimum Requirements:NecessaryCompany secretarial certificate5+ years experience in a company secretarial role or in a similar governance roleStrong understanding of corporate law and governanceStrong understanding of CIPC requirementsFamiliarity with FICA compliance and proceduresExcellent organisational and time-management skillsStrong communication and interpersonal skillsHigh level of integrity and professionalismAdvantageousLaw degree or similar qualificationCertificate in FICA compliance and proceduresExtensive experience in FICA compliance and proceduresKey ResponsibilitiesEnsure the organisation's clients comply with its statutory obligations under relevant laws and regulationsMaintain the statutory registers and ensure the timely filing of statutory returns.Preparation and filing of documents with CIPCProvide guidance to clients on corporate governance principles and the implementation of governance frameworks.Organise and prepare meeting packs for board meetings, committees, and annual general meetingsTake minutes, draft resolutions, and lodge required forms and annual returns with the relevant authoritiesKeep abreast of relevant legislation and the regulatory environment and take appropriate actionProviding training to junior staff members on changes to legislative and regulatory environmentDevelop and oversee systems that ensure the company's clients comply with regulatory and statutory requirementsImplement the organisation's FICA compliance policies and proceduresAssist in the development of FICA compliance policies and proceduresPlease apply onlineFROGG Recruitment
